1. Definitions
“Platform” refers to the UmbaCart SaaS system, including all tools, infrastructure, APIs, and related services.
“User” or “Customer” means any individual or entity accessing or using the Platform.
“Content” refers to all text, images, videos, and materials uploaded by Users.
“Agreement” means these Terms & Conditions along with the Privacy Policy and any referenced policies.
2. Acceptance of Terms
By accessing or using the Platform, you acknowledge and agree to these Terms.
If you do not agree, discontinue use immediately.
3. Eligibility
Users must be at least 18 years old and legally able to enter binding agreements.
4. Accounts
Users are responsible for maintaining secure login credentials.
UmbaCart may suspend accounts involved in fraud, abuse, or policy violations.
5. Services
UmbaCart provides tools for creating, hosting, and managing online stores.
The Platform may evolve or change. UmbaCart may update features or infrastructure with reasonable notice.
6. Payments & Renewals
All subion fees are billed in advance and renew automatically unless cancelled.
Payments follow the Refund & Cancellation Policy.
Pricing may be adjusted with advance notice.
7. Intellectual Property
UmbaCart retains full rights over its software, design, branding, and documentation.
Users retain ownership of their content but grant UmbaCart a non-exclusive, revocable license to host and process it as required for service delivery.
8. Acceptable Use Policy
Users must NOT:
- Engage in illegal, fraudulent, or deceptive activities
- Upload content that infringes copyrights or third-party rights
attempt unauthorized access, reverse engineering, or security breaches
Violations may result in immediate suspension or termination.
9. Third-Party Services
The Platform integrates with third-party providers (e.g., payment gateways, hosting, Meta, AWS).
These services are governed by their own terms, and UmbaCart is not liable for their actions, outages, or policy changes.
10. Service Availability
The Platform is provided “AS IS” and “AS AVAILABLE”, without warranties of uninterrupted performance.
UmbaCart is not responsible for downtime due to maintenance, technical issues, or force majeure events.
11. Limitation of Liability
To the fullest extent permitted by law:
UmbaCart is not liable for indirect or consequential damages, including loss of revenue or data.
Total liability is limited to the amount paid in the previous 12 months.
12. Indemnification
Users agree to indemnify and hold harmless UmbaCart from claims arising from:
- their use of the Platform
- their content
- their violations of law or third-party rights
13. Termination
UmbaCart may terminate accounts for material breach, illegal activity, or abuse.
Upon termination, User access stops, and data may be deleted after 30 days unless legally required otherwise.
14. Governing Law & Dispute Resolution
This Agreement is governed by the laws of Delaware, USA (or applicable jurisdiction based on User location).
Disputes shall be resolved through binding arbitration in English.
Users waive any right to class actions or jury trials.
15. Force Majeure
UmbaCart is not liable for delays caused by events beyond its control, including natural disasters, cyberattacks, or power outages.
16. Modifications
UmbaCart may revise these Terms at any time.
Continued use after changes implies acceptance.
17. Export Compliance
Users must comply with international trade restrictions and may not use the Platform in embargoed regions.
18. Survival
Sections relating to Intellectual Property, Liability, Indemnification, and Dispute Resolution survive termination.
19. Tenant Store Responsibility (NEW)
Stores operating under any UmbaCart subdomain are fully responsible for:
- their content
- their products
- their legal compliance
UmbaCart is not liable for illegal, unethical, or harmful activities of any store.
20. Payment Gateway Integration
For using UmbaCart-supported gateways, Users must provide:
- API keys
- Secret keys
- merchant credentials
- compliance documents
UmbaCart only configures the gateway.
All transaction disputes, fraud, settlements, and regulatory compliance are solely the User’s responsibility.
21. Social Content Usage Responsibility
Any images, videos, or marketing materials provided by UmbaCart may NOT be:
- misused
- distributed unlawfully
- edited into harmful or misleading content
The User is fully responsible for how they use social content.
UmbaCart is not liable for any misuse.
22. Pricing & Plans
All plan prices, features, and limits may change at any time.
UmbaCart will provide reasonable notice, but changes can be effective immediately.
23. Free Plan Disclaimer
The free plan is a temporary, promotional service.
UmbaCart may modify, limit, or stop the free plan at any time without notice.
24. Inactive Store Suspension
If a store shows no activity or updates for 90 days, UmbaCart may suspend it.
A warning email will be sent 15 days prior to suspension.
25. Android App & APK Policy
UmbaCart provides only the Android .apk file.
If Users wish to publish the app on the Google Play Store:
- They must complete all required steps and compliance processes
- UmbaCart may guide but does not guarantee approval
- Additional charges may apply
26. Promotional & Free Offers
All free services, bonuses, discounts, and promotional benefits may be changed or discontinued at any time by the UmbaCart Support Team.
No promotional item has cash value.
27. Internet & User Responsibility
Users are responsible for:
- stable internet
- device operation
- backup of local files
UmbaCart is not liable for interruptions caused by local network issues in Bangladesh or elsewhere.
28. Payment Verification & Fraud Prevention
For manual or mobile financial payments (bKash, Nagad, Rocket, cash, bank):
- Fake screenshots
- Mismatched transaction IDs
- Disputed or unverifiable payments
may result in suspension.
Activation begins only after payment is confirmed.
29. Local Compliance & Data Accuracy
Bangladesh-based Users must provide accurate:
- Business details
- NID or verification documents
- Active email and phone
False or unverifiable information may delay service or cause restrictions.
30. Misconduct & Abuse
UmbaCart may restrict or terminate accounts engaged in:
- Abusive behavior
- Defamatory actions
- Fraudulent refund attempts
- Misuse of free services
Such decisions may be permanent.
31. Entire Agreement
These Terms, combined with the Privacy Policy and Offer/Promotion Policy, constitute the entire agreement between UmbaCart and the User.
