1. Definitions

- Platform: UmbaCart SaaS system including tools, hosting, APIs, and services.

- User: Any person or business accessing or using the Platform.

- Content: Data, text, images, videos, and other materials uploaded by Users.

- Agreement: These Terms & Conditions, the Privacy Policy, the Refund Policy, the Offer & Promotion Policy, and any referenced policies.


2. Acceptance of Terms

By accessing or using the Platform you accept these Terms. If you disagree, stop using the Platform immediately.


3. Eligibility

Users must be at least 18 years old and legally able to enter binding agreements under the Contract Act 1872.


4. Accounts & Responsibilities

- Keep login credentials secure; you are responsible for all activity under your account.

- UmbaCart may suspend or terminate accounts involved in fraud, abuse, or illegal conduct.

- Providing false or misleading information may result in immediate suspension (Digital Commerce Guidelines 2021).


5. Services Provided

UmbaCart offers: eCommerce website builder, hosting, product/catalog management, optional Android .apk generation, and third-party integrations. UmbaCart may modify, add, or remove features as required.


6. Website & App Setup Timeline

UmbaCart requires up to seven (7) business days to deliver and set up a User’s website and Android application after receiving all required inputs and verified payment. Setup time may increase when: high client volume occurs, required documents are missing, or User delays responding. Users will be notified if additional time is required.


7. Payments, Renewals & Billing

- All subion and service fees are billed in advance and renew automatically unless canceled.

- Pricing and plan structure may change with notice.

- Manual payments (bKash, Nagad, Rocket, bank, cash) require verified proof of payment. Fake screenshots or mismatched transaction IDs may cause suspension (Digital Security Act 2018).

- Activation occurs only after payment authenticity is confirmed.


8. Startup Cost, Discount & Refund Conditions

a. Startup Cost (one-time)

A mandatory startup cost of 5,000 BDT applies to all new paid registrations (website and/or mobile app setup).


b. Eligibility for 11% Discount

Users may receive an 11% discount by completing both:

- Register via the official Registration Link (click here); and

- Follow UmbaCart’s official Facebook Page (click here) and submit a review as instructed.


c. Payment Method

Startup cost payable manually via bKash, cash, or bank transfer as instructed by UmbaCart or authorized staff.


d. Non-Refundable Policy

The startup cost is strictly non-refundable once the User’s website or mobile app is Registered, Activated or Configured by UmbaCart’s technical team.


e. Exception for Verified Technical Issues

If UmbaCart verifies a confirmed technical failure or unmet commitment, UmbaCart will review and may provide corrective actions (issue resolution, extended support, or service adjustments). Refunds are not guaranteed and are at UmbaCart’s final discretion based on logs and documentation.


9. Intellectual Property

- UmbaCart retains all rights to its software, designs, branding, and documentation.

- Users retain ownership of their content.

- Users grant UmbaCart a non-exclusive, revocable license to host, process, and display content as necessary to provide services.


10. Acceptable Use & Prohibited Activities

Users must not:

- conduct illegal, fraudulent, or deceptive activities;

- sell items prohibited by Bangladesh law;

- upload copyrighted material without permission;

- attempt hacking, reverse engineering, or security breaches;

- manipulate payment systems or defraud customers.

Violations may lead to account termination and legal action under ICT Act 2006, Digital Security Act 2018, or other applicable law.


11. Tenant Store Liability (Bangladesh Compliant)

Stores on UmbaCart subdomains operate independently. Each store is solely responsible for:

- trade licenses, VAT obligations (if applicable), and local compliance;

- product authenticity, deions, safety, and quality;

- delivery, returns, refunds, and customer complaints.

UmbaCart holds no liability for illegal, harmful, or fraudulent activities by stores. Under Consumer Rights Protection Act 2009, the store owner—not UmbaCart—is the “seller” responsible to consumers.


12. Third-Party Services

Integrations (bKash, Nagad, Rocket, payment gateways, Meta, Google APIs, hosting/CDN partners) are subject to their own terms. UmbaCart is not liable for outages, policy enforcement, approvals, suspensions, or decisions by these third parties.


13. Payment Gateway Integration

If you request UmbaCart to configure a gateway you must provide API keys, secret keys, merchant credentials, and compliance documents. UmbaCart configures only; disputes, KYC issues, fraud, or settlement matters are between the User and the gateway provider.


14. Social Content Support — Facebook Content Support (1 to 3 Month Complimentary Offer Based on Subion Plan)

As a limited promotional service, UmbaCart provides up to 10–15 images and 10–15 short videos as complimentary social media content support for the first one (1) to three (3) months after activation. Content is created from the User’s product images or business concept. Creative direction and production style are determined by UmbaCart’s Content Support Team. After one or three months, additional content is billable under UmbaCart’s Social Content Plan. This offer is non-transferable and subject to fair-use limits.


15. Free Plan Limitations

Free plan users receive only the website and the described basic features. The following are not included for free plan users:

- Mobile application (.apk)

- 1-month Facebook Content Support (N:B: Offer will be closed/changed anytime by UmbaCrt Supprt Team)

- 7-day setup priority

- Startup cost discount program

- Three-month rent-free promotional offer

These benefits are exclusive to paid plan customers.


16. Fair Use Policy (Bangladesh Users)

To maintain quality, UmbaCart may limit or suspend services for excessive or abusive usage, including:

- repeated requests beyond complimentary content;

- demands for custom features not in the plan scope;

- excessive non-technical support requests;

- misuse of discounts, referral bonuses, or promotions.

UmbaCart reserves the right to deny services that violate fair-use expectations.


17. Service Availability & Internet Responsibility

The Platform is provided “AS IS” and “AS AVAILABLE.” Bangladesh users should expect intermittent local internet issues (load shedding, ISP outages, mobile network problems). UmbaCart is not liable for interruptions caused by:

- local internet connectivity problems;

- regional power outages;

- mobile operator or ISP downtime;

- device failures on the User’s side.

Users are responsible for timely content uploads and local backups.


18. Social Media Dependency Disclaimer

Many Bangladesh businesses rely on Facebook/Meta. UmbaCart is not responsible for:

- Facebook page restrictions, unpublishing, or bans;

- Meta policy changes affecting reach or features;

- account hacking, verification delays, or disabled profiles;

- Facebook page recovery or appeals.

Content Support does not include social account restoration.


19. Queue & High-Volume Delay Conditions

During peak seasons (Eid, government holidays, year-end sales) or client surges, setup times may exceed 7 business days. Users will be notified of queue delays. Seasonal delays do not entitle Users to refunds.


20. Inactive Store Suspension

If a store remains inactive (no updates or activity) for 90 days, UmbaCart may suspend it. A reminder email will be sent 15 days prior to suspension.


21. Android App & APK Policy

UmbaCart supplies the Android .apk file only. If Users wish to publish on the Google Play Store they must:

- complete Play Store developer registration and all compliance steps;

- follow Play Store policies and content guidelines;

- accept responsibility for store listing, permissions, and policy compliance.

UmbaCart may provide guidance or paid support but does not guarantee Play Store approval. Additional charges may apply.


22. Payment Verification & Fraud Prevention

- For Bangladesh payments (bKash, Nagad, Rocket, cash, bank):

- Fake payment screenshots, mismatched transaction IDs, or disputed payments may result in suspension.

- Users must provide accurate sender numbers and valid proof of payment.

- Activations may be held until payment authenticity is confirmed. Processing delays may occur due to MFS system issues.


23. Data Accuracy & Local Compliance

Bangladesh Users must provide accurate business information, valid NID (if requested), and active contact details. False or unverifiable information may cause activation delays or service restrictions under applicable law.


24. Limitation of Liability

To the maximum extent permitted by Bangladesh law:

- UmbaCart is not liable for indirect, incidental, punitive, or consequential damages.

- Total liability is limited to fees paid by the User to UmbaCart in the preceding 12 months.

Consumer protections under CRPA 2009 and other mandatory laws are preserved.


25. Indemnification

Users will indemnify and hold UmbaCart harmless from claims arising from their use of the Platform, store operations, illegal products, misuse of social content, fraud, or unlawful acts.


26. Misconduct, Abuse, & False Claims

UmbaCart may suspend or terminate accounts for abusive behavior, public defamation to obtain refunds, false non-delivery claims, fraudulent refund attempts, or misuse of promotions. Such restrictions may be permanent.


27. Force Majeure

UmbaCart shall not be liable for delays or non-performance caused by events beyond reasonable control: natural disasters, political unrest, telecom outages, cyberattacks, government actions, labor disputes, or other force majeure events.


28. Dispute Resolution (Bangladesh Law)

Disputes shall be governed by Bangladesh law. Jurisdiction: Dhaka, Bangladesh, unless otherwise required by law. Parties shall attempt amicable resolution before litigation. Users waive rights to class actions unless legally required.


29. Modifications to Terms

UmbaCart may update these Terms at any time. Continued use after notice signifies acceptance.


30. Entire Agreement

These Terms, together with the Privacy Policy, Refund Policy, and Offer & Promotion Policy, represent the entire agreement between UmbaCart and the User.
